1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Uniseros Inc., a company incorporated in the State of Delaware, USA ("we," "us," or "our"), concerning your access to and use of the Uniseros website, platform, AI tools, and educational services (collectively, the "Services").
Uniseros provides AI-powered tools and educational resources specifically designed for professionals in the construction industry, including engineers, contractors, architects, quantity surveyors, and project managers. Our Services are intended to augment and enhance professional workflows, not to replace professional judgment, expertise, or regulatory compliance obligations.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the Services and must discontinue use immediately.
2. AI Services, Tools & Usage
2.1 Nature of AI Services
Our AI tools are designed to assist construction professionals with document analysis, contract review, project intelligence, and workflow optimisation. These tools use artificial intelligence and machine learning models to process data, generate suggestions, and provide automated assistance.
2.2 Professional Responsibility
IMPORTANT: You acknowledge and agree that:
- AI-generated outputs are assistive tools only and do not constitute professional engineering, architectural, or construction advice.
- You retain full professional responsibility for all work products, decisions, and deliverables created using our Services.
- You must independently verify, validate, and review all AI-generated outputs before use in any professional context.
- Our Services do not ensure compliance with building codes, safety regulations, or professional standards applicable to your jurisdiction or project.
- You are solely responsible for ensuring all work complies with applicable laws, regulations, codes, and professional standards.
2.3 AI Limitations & Disclaimers
You understand and accept that AI tools may:
- Contain errors, inaccuracies, or outdated information
- Produce outputs that are incomplete or require professional interpretation
- Have limitations based on training data and model architecture
- Not be suitable for all use cases or project types
- Require human oversight and professional judgment
2.4 Acceptable Use of AI Tools
You agree to use AI tools only for:
- Legitimate professional purposes in the construction industry
- Augmenting your own professional work and expertise
- Internal workflows and process optimisation
You agree NOT to:
- Use outputs without independent professional verification
- Rely solely on AI tools for critical safety or structural decisions
- Attempt to reverse engineer, replicate, or extract our AI models
- Use the Services to create competing AI products or services
2.5 Construction Regulatory Compliance
Construction projects are subject to extensive regulatory frameworks, including but not limited to building codes, health and safety legislation (such as CDM Regulations in the UK), environmental regulations, planning requirements, and industry-specific standards. You acknowledge that:
- Our Services do not guarantee compliance with any regulatory framework
- AI outputs should not be treated as a substitute for professional compliance checks
- You remain solely responsible for regulatory compliance in your jurisdiction
- Regulations change frequently and AI models may not reflect the most recent requirements
3. Educational Services
3.1 Webinars & Training
Access to webinars and training sessions is subject to registration and may require payment. By registering for a webinar, you agree to:
- Attend using your registered account only
- Not record, reproduce, or redistribute webinar content without express written permission
- Use materials for personal educational purposes only
- Respect the intellectual property rights of presenters and Uniseros
3.2 Research Papers & Educational Content
Research papers, articles, and educational materials provided through the Services are protected by copyright and are licensed to you for personal, non-commercial use only. You may:
- Read and study materials for educational purposes
- Cite materials properly in your own work with appropriate attribution
- Print single copies for personal reference
You may NOT:
- Republish, redistribute, or sell our educational content
- Remove copyright notices or attribution
- Use content for commercial training without authorization
- Claim authorship of our materials
4. User Content & Data Ownership
4.1 Your Content
You retain full ownership of all content, files, documents, and data you upload, submit, or input into our Services ("User Content"). By using our Services, you grant us a limited, non-exclusive, worldwide license to use, process, and store your User Content solely for the purpose of:
- Providing the Services to you
- Processing your data through AI tools as requested
- Maintaining and improving service functionality
- Complying with legal obligations
4.2 AI-Generated Outputs
You own all outputs, results, and materials generated by our AI tools based on your inputs and prompts. We do not claim ownership of AI-generated content produced specifically for you through the Services.
4.3 Use of Data for Service Improvement
We may use aggregated, anonymized usage data and performance metrics to improve our AI models and Services. We do NOT use your specific User Content to train AI models without your explicit consent. Project files, uploaded documents, and confidential information remain private to your account.
4.4 Confidentiality
We understand that you may upload sensitive or confidential project information, including commercially sensitive construction data such as tender documents, cost data, and contract terms. We implement reasonable security measures to protect your data and will not share your User Content with third parties except as necessary to provide the Services or as required by law.
4.5 Multi-Party Project Data
Construction projects involve multiple parties. By uploading content that contains information originating from or belonging to third parties (such as subcontractor quotes, consultant reports, or client correspondence), you represent and warrant that you have the necessary rights, permissions, or authority to upload and process that data through our Services. You are responsible for complying with any confidentiality obligations you owe to project counterparts.
5. Accounts & Subscriptions
5.1 Account Creation
To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update this information as necessary. You are responsible for maintaining the confidentiality of your account credentials.
5.2 Account Types
We offer different account types, including individual and enterprise accounts. Enterprise accounts may have additional terms and service level agreements.
5.3 Subscription & Payment
Certain Services require paid subscriptions. By subscribing, you agree to:
- Pay all fees associated with your chosen subscription plan
- Provide accurate payment information
- Authorize recurring charges for subscription renewals
- Accept that fees are non-refundable except as required by law or stated in our refund policy
5.4 Price Changes
We may adjust subscription pricing from time to time. We will provide at least 30 days' advance written notice of any price increase via email. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before it takes effect.
5.5 Subscription Changes & Cancellation
You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Changes take effect at the next billing cycle. Upon cancellation, you retain access until the end of your paid period.
5.6 Free Trials
We may offer free trial periods for certain Services. Trial terms will be specified at signup. We may require payment information to start a trial and will charge you automatically unless you cancel before the trial ends.
6. Intellectual Property Rights
Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, code, AI models, and the selection and arrangement thereof) are owned by Uniseros Inc., our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The Uniseros name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Uniseros Inc. or its affiliates. You must not use such marks without our prior written permission.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our proprietary materials, except as expressly permitted in these Terms or with our prior written consent.
7. User Representations & Warranties
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update such registration information as necessary.
- You have the legal capacity and you agree to comply with these Terms of Service.
- You are at least 18 years of age (or the age of majority in your jurisdiction).
- You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except as explicitly permitted.
- You will not use the Services for any illegal or unauthorized purpose.
- Your use of the Services will not violate any applicable law or regulation.
- You have the necessary professional qualifications and licenses for your work in the construction industry.
- You will not use AI outputs without appropriate professional review and validation.
- You have the authority to upload any content you submit, including content originating from third parties in multi-party construction projects.
8. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict use or copying of any content or enforce limitations on use.
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
- Use any information obtained from the Services in order to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Services.
- Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services.
- Use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
- Attempt to impersonate another user or person or use the username of another user.
- Sell or otherwise transfer your account or profile.
- Use the Services to compete with us or to create a similar service.
- Attempt to bypass any measures we put in place to prevent or restrict access to the Services.
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
- Delete the copyright or other proprietary rights notice from any content.
9. Service Availability & Modifications
9.1 Service Availability
We strive to provide reliable, consistent access to our Services. However, we do not guarantee that the Services will be available at all times or that they will be uninterrupted, timely, secure, or error-free. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.
9.2 Right to Modify
We reserve the right to change, modify, or discontinue any aspect of the Services at any time, including but not limited to features, specifications, capabilities, functions, or hours of availability. We will make reasonable efforts to notify you of material changes.
9.3 Beta & Experimental Features
We may offer beta, pilot, or experimental features that are clearly marked as such. These features are provided "as is" and may have limited support, functionality, or reliability. We may discontinue beta features at any time without notice.
10. Account Termination & Suspension
10.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, your right to access and use the Services will immediately cease.
10.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Services, with or without notice, for any reason, including but not limited to:
- Violation of these Terms of Service
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Extended periods of inactivity
- Requests by law enforcement or other government agencies
10.3 Effect of Termination
Upon termination:
- Your access to the Services will immediately cease
- We may delete your account and User Content in accordance with our data retention policy
- You remain responsible for any fees incurred prior to termination
- Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions
10.4 Data Export
Prior to account termination, you may request an export of your User Content. We will make reasonable efforts to provide your data in a commonly used, machine-readable format (such as PDF, CSV, or JSON) within 30 days of your request. We strongly recommend exporting your data before account closure, particularly for construction documents that may be subject to statutory retention requirements.
11. Disclaimers & Limitations of Liability
11.1 General Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Professional Use Disclaimers
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT:
- The accuracy, reliability, or completeness of AI-generated outputs
- The fitness of our Services for specific engineering, architectural, or construction purposes
- Compliance of AI outputs with building codes, safety regulations, or professional standards
- The suitability of our Services for critical safety or structural applications
YOU ACKNOWLEDGE THAT OUR SERVICES ARE ASSISTIVE TOOLS ONLY AND THAT YOU RETAIN FULL PROFESSIONAL RESPONSIBILITY FOR YOUR WORK.
11.3 Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, PROJECT DELAYS, PROFESSIONAL ERRORS, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
11.4 Professional Liability Exclusion
WE ARE NOT LIABLE FOR:
- Professional errors or omissions in your work
- Building code violations or regulatory non-compliance
- Structural failures or safety issues
- Project cost overruns or delays
- Client disputes or professional malpractice claims
- Any decisions you make based on AI-generated outputs
11.5 Professional Indemnity Insurance
Use of our Services does not substitute for professional indemnity insurance or any other insurance coverage required in your jurisdiction or by your professional body. You are solely responsible for maintaining appropriate insurance coverage for your professional activities, regardless of whether those activities involve the use of our AI tools.
12. Indemnification
You agree to defend, indemnify, and hold harmless Uniseros Inc. and its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use or misuse of the Services
- Your User Content
- Your professional work or services using outputs from our AI tools
- Any breach of your professional obligations or standards
- Any third-party claims arising from your use of the Services
- Your breach of confidentiality obligations owed to project counterparts in relation to data uploaded to our platform
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war or terrorism, government actions or regulations, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. The affected party shall use reasonable efforts to mitigate the impact of the force majeure event and resume performance as soon as practicable.
14. Construction Document Retention
You acknowledge that construction documents may be subject to statutory retention requirements that extend beyond your use of our Services. Depending on your jurisdiction and the nature of your contracts, retention periods for construction-related documents may range from 6 to 12 years or longer (for example, under limitation periods for contracts executed as simple contracts or as deeds).
Our platform's data retention periods are set out in our Privacy Policy. You are solely responsible for maintaining independent copies of your construction documents in accordance with your statutory and contractual obligations. We strongly recommend exporting all project data before account termination.
15. Export Controls
You acknowledge that certain construction project data, particularly relating to government, defence, or critical national infrastructure projects, may be subject to export control laws and regulations. You are solely responsible for ensuring that your use of our Services, including the upload and processing of project data, complies with all applicable export control and sanctions laws in your jurisdiction.
16. Governing Law & Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
16.2 Dispute Resolution
If you have any concern or dispute about the Services, you agree to first try to resolve the dispute informally by contacting us at contact@uniseros.com. We will endeavour to respond within 14 business days.
16.3 Jurisdiction
You agree that any legal action or proceeding between you and Uniseros Inc. shall be brought exclusively in the state or federal courts located in the State of Delaware, USA, and you consent to the personal jurisdiction of such courts.
17. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by sending you an email notification or displaying a prominent notice within the Services. We will provide at least 14 days' notice for material changes.
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.
18. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Uniseros Inc. concerning the Services.
